Replacement Prospectus
Thomas Bryson International Limited ACN 133 453 531 lodged a Replacement Prospectus with the Australian Securities and Investments Commission (ASIC) (Replacement Prospectus) on 19 January 2009 relating to an offer of 16,000,000 New Shares at a price of $0.50 each to raise $8 million. This Replacement Prospectus replaces the original Prospectus lodged by Thomas Bryson International Limited with ASIC on 4 December 2008 relating to securities in the company.

Application for shares
Shares in Thomas Bryson International Limited will only be issued upon receipt of the completed Application Form issued together with the Replacement Prospectus. An application for shares may be made in either of the following two ways:

by completing the Application Form attached to or accompanied by a paper copy of the Replacement Prospectus; or

by printing and completing the Application Form attached to or accompanying this Electronic Replacement Prospectus,
and lodging both the Application Form and application moneys in accordance with the directions specified in the Replacement Prospectus and Application Form.
Pursuant to the Corporations Act, this Replacement Prospectus is not subject to the usual exposure period from the date of lodgement with ASIC. Applicants should bear this in mind.
